Terms of Service
These Terms of Service (“Terms”) govern your use of the Bidwell mobile app, the Bidwell website and the messages and documents sent through them (together, the “Service”), operated by Hill Street Technologies, Inc. (“Bidwell”, “we”, “us”). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.
The Service
Bidwell helps residential contractors (“Contractors”) create estimates and proposals from a walkthrough, send them to their clients (“Homeowners”) for electronic signature, manage change orders and, where available, request advances against signed invoices. Estimates are generated with the help of AI and are the Contractor’s to review and correct before they are sent; Bidwell does not guarantee their accuracy and is not a party to the contract between a Contractor and a Homeowner.
Accounts
You must be at least 18 and use the Service for a business. You are responsible for the activity on your account, for the accuracy of the information you provide and for the contact details of the Homeowners you send documents to. Keep your sign-in credentials secure.
Contractor responsibilities
- You confirm that each Homeowner you send a document to has given you their contact details and agreed to receive your proposals and change orders by that channel (email or text).
- You are responsible for the content of your proposals, change orders and messages, and for complying with the licensing, contracting, consumer-protection and messaging laws that apply to your business.
- You will not use the Service to send unsolicited, deceptive or unlawful messages.
SMS Terms
This section applies to text messages Bidwell sends through the Service.
- Program: Hill Street Technologies, Inc. transactional messages (the Bidwell app). The sender of every message is Hill Street Technologies, Inc. When a proposal or change order is ready for you, Hill Street Technologies, Inc. texts you a link to review and sign that document.
- Consent: You receive messages only after opting in to Bidwell text messages (the web form at getbidwell.ai/sms-optin). Consent is not a condition of any purchase.
- Frequency: Message frequency varies. You receive one message each time a document is ready for you, and occasionally a follow-up for the same document.
- Message and data rates may apply. Check with your mobile carrier for details of your plan.
- Opt out: Reply STOP to any message to stop receiving texts from Bidwell. You will receive one final message confirming you have been unsubscribed. After that, your Contractor can still send you documents by email.
- Help: Reply HELP to any message, or email support@getbidwell.ai.
- Carriers are not liable for delayed or undelivered messages.
- Privacy: Mobile numbers and SMS opt-in data are handled as described in our Privacy Policy and are never sold or shared with third parties for marketing purposes.
Electronic signatures
Documents sent through the Service are signed electronically. By signing you agree that your electronic signature has the same effect as a handwritten one, and that you can receive and retain the signed document electronically.
Advances
Advances against signed invoices are offered only where available, are subject to eligibility and approval, and are governed by the separate advance agreement shown in full before you accept. Nothing on the Service is an offer of credit until that agreement is signed.
Your content
You keep ownership of the photos, scans, documents and data you provide. You grant Bidwell the right to process them to provide the Service and, in aggregated or de-identified form, to improve it.
Acceptable use
Do not misuse the Service: no unlawful content, no interference with the Service or its security, no scraping or reverse engineering, and no use of the messaging features other than to send your own proposals and change orders to Homeowners who agreed to receive them.
Disclaimer and limitation of liability
The Service is provided “as is”. Estimates, prices, measurements and item counts are aids to your professional judgment, not guarantees. To the fullest extent permitted by law, Bidwell is not liable for indirect, incidental or consequential damages, and its total liability for any claim is limited to the amount you paid for the Service in the twelve months before the claim.
Termination
You can delete your account at any time in Settings. We may suspend or end access for a breach of these Terms. Sections that by their nature should survive (your content, disclaimers, limitation of liability) survive termination.
Changes
We may update these Terms. We will post the new version on this page with a new effective date, and ask Contractors to accept material changes in the app.
